1. Acceptance of Terms

By accessing, browsing, purchasing, subscribing to, or using any service offered by the service provider, you agree to be bound by these Terms and Conditions and any policies or guidelines incorporated by reference.

If you do not agree with these Terms, you should not access or use the services.

2. Scope of Services

The service provider may provide digital services, consulting, subscriptions, support, software-enabled tools, content, communications, or other lawful offerings from time to time. Services may evolve, be updated, suspended, or discontinued at the discretion of the service provider, subject to applicable obligations.

3. Eligibility and User Responsibility

You agree to use the services only if you are legally capable of entering into a binding agreement under applicable law. If you use the services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

  • You must provide accurate and current information where required.
  • You are responsible for activities carried out through your account, credentials, devices, or approved access methods.
  • You must maintain the confidentiality of usernames, passwords, tokens, and other access credentials.

4. Permitted Use

You may use the services only for lawful purposes and in accordance with these Terms. You agree not to misuse the services, interfere with normal operation, or use them in any way that could harm the service provider, other users, partners, systems, or third parties.

5. Prohibited Conduct

Without limitation, you agree not to:

  • Use the services for unlawful, fraudulent, abusive, deceptive, or harmful activities.
  • Attempt to gain unauthorized access to systems, accounts, data, networks, or infrastructure.
  • Reverse engineer, disrupt, disable, overload, scrape, or interfere with any portion of the services except where expressly permitted by law.
  • Upload, transmit, or distribute malicious code, spam, harmful content, or material that infringes the rights of others.
  • Misrepresent identity, affiliation, authority, or ownership.
  • Use the services in a manner that violates intellectual property, privacy, confidentiality, or other legal rights.

6. Accounts and Access

Certain services may require registration or account creation. The service provider may suspend, restrict, or terminate access where there is suspected misuse, non-payment, violation of these Terms, security risk, or legal necessity.

You must promptly notify the service provider of any suspected unauthorized use of your account or security breach.

7. Fees, Billing, and Payment

Some services may be offered for a fee. Where applicable, pricing, billing cycle, taxes, refund rules, renewal terms, or related commercial details may be communicated separately through an order form, invoice, proposal, subscription page, or written agreement.

Unless otherwise agreed in writing, fees are due in accordance with the stated payment terms. Failure to make timely payment may result in suspension, restriction, cancellation, or collection action where permitted by law.

8. Intellectual Property

All rights, title, and interest in the services, including software, code, interfaces, text, graphics, designs, trademarks, branding, documentation, and related materials, remain the property of the service provider or its licensors unless expressly stated otherwise.

These Terms do not transfer ownership of intellectual property. Limited access or usage rights, if any, are granted only for the intended lawful use of the services.

9. User Content

If you submit, upload, store, send, or otherwise provide content through the services, you retain ownership of your content unless otherwise agreed. However, you grant the service provider a limited right to host, process, transmit, store, reproduce, and use such content solely as reasonably necessary to operate, secure, support, and improve the services or comply with legal obligations.

You are solely responsible for ensuring that your content is lawful and that you have the necessary rights, permissions, and authority to provide it.

10. Confidentiality

Each party should take reasonable care to protect confidential information disclosed in connection with the services. Confidential information does not include information that is publicly available without breach, independently developed, lawfully received from another source, or required to be disclosed by law.

11. Third-Party Services

The services may interact with or depend on third-party providers, infrastructure, content, payment processors, or integrations. The service provider is not responsible for the acts, omissions, availability, or policies of third parties except to the extent required by applicable law.

12. Availability and Changes

The service provider may modify, update, improve, suspend, limit, or discontinue any part of the services at any time. While reasonable efforts may be made to maintain availability, uninterrupted or error-free operation is not guaranteed.

13. Disclaimer of Warranties

Unless expressly stated otherwise in a separate written agreement, the services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the service provider disclaims warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

14. Limitation of Liability

To the maximum extent permitted by law, the service provider shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or service interruption arising out of or related to the use of, or inability to use, the services.

Where liability cannot be excluded, it will be limited to the minimum extent permitted by applicable law.

15. Indemnity

You agree to defend, indemnify, and hold harmless the service provider, its affiliates, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses arising from your misuse of the services, violation of these Terms, infringement of rights, or breach of applicable law.

16. Suspension and Termination

The service provider may suspend or terminate access to any service, in whole or in part, immediately or upon notice, if reasonably necessary for maintenance, security, legal compliance, abuse prevention, account inactivity, contractual breach, or operational reasons.

Provisions that by their nature should survive termination will continue to remain in effect, including provisions relating to intellectual property, payment obligations, disclaimers, liability limitations, indemnity, and dispute-related clauses.

17. Privacy

Use of the services may involve the collection and processing of personal information. Such handling is governed by the applicable privacy policy of the service provider, as updated from time to time.

18. Governing Law and Disputes

These Terms shall be governed by applicable law as determined by the competent jurisdiction associated with the service provider, unless a separate written agreement provides otherwise.

The parties should first attempt to resolve disputes in good faith through communication before pursuing formal legal remedies, unless urgent relief is required.

19. Changes to These Terms

The service provider may revise these Terms from time to time. Updated Terms become effective from the date stated in the revised version unless otherwise specified. Continued use of the services after such changes constitutes acknowledgment of the updated Terms.
